1. Scope
These terms govern access to and use of nexphoria.com and the products listed therein. By placing an order you accept these terms.
2. Products — research use only
All products are sold for in vitro research use only by qualified researchers. Not for human consumption, veterinary use, food, cosmetic, or therapeutic purposes. Not for resale outside a research context.
3. Eligibility
Buyers must be at least 21 years of age and affiliated with a research institution, a commercial laboratory, or an independent research project. RUO certification is required at first checkout and binds all subsequent orders on the account.
4. Orders and pricing
Pricing in US dollars. Pricing and stock subject to change without notice. An order is accepted when payment is captured and a fulfillment confirmation is sent. We may decline or cancel any order at our discretion.
5. Payment
Accepted methods listed at checkout. Failed authorizations void the order. Chargebacks may result in account suspension and recovery action.
6. Shipping and risk of loss
Title and risk of loss pass to the buyer on carrier pickup at our facility (Incoterms FCA Origin). Buyer responsible for import duties and local compliance.
7. Returns
Due to cold-chain integrity, opened or unrefrigerated returns are not accepted. Defective items must be reported within 48 hours of delivery with photographic evidence. Approved returns issued as account credit or replacement.
8. Warranty and disclaimer
Products meet the assay, content, and purity specifications listed on the certificate of analysis for the shipped lot. Beyond those specifications all products are provided "as is" with no warranty of merchantability or fitness for any particular purpose.
9. Limitation of liability
Aggregate liability limited to the amount paid for the product giving rise to the claim. No indirect, incidental, or consequential damages.
10. Indemnification
Buyer indemnifies Nexphoria against claims arising from misuse, redistribution to consumers, or violation of applicable law.
11. Compliance
Buyer is responsible for compliance with applicable controlled-substance, import, export, and research conduct regulations in the buyer's jurisdiction.
12. Governing law
State of New York, without regard to conflict-of-laws principles. Exclusive venue: state and federal courts located in New York County, New York.
13. Changes
We may amend these terms by posting an updated version. The effective date at the top of this page reflects the most recent amendment.
